General Conditions of Purchase

1.1. The Order is accepted when the Supplier commences its execution whereupon a contract upon these terms (the "Contract") is formed with Schneider Electric Nigeria Limited (the "Purchaser"). 1.2. Subject to these General Conditions of Purchase, any Order given to the Supplier by the Purchaser shall constitute an offer by the Purchaser to purchase the Goods (including Software) and/or Services referred jointly to hereinafter as “the Supplies” in accordance with these General Conditions of Purchase to the exclusion of any other terms and conditions on the basis of which a quotation has been given to the Purchaser or subject to which any Order is accepted or purported to be accepted by the Supplier and the Supplier acknowledges that these General Conditions of Purchase shall prevail over any other conditions which may have previously been notified by the Purchaser to the Supplier and any previous course of dealing between the Purchaser and the Supplier. 1.3. The written acceptance by the Supplier of the Order or the commencement of performance of the Order by the Supplier shall constitute acceptance by the Supplier of the Order and these General Conditions of Purchase. 1.4. Any modification of these General Conditions of Purchase must be expressly accepted by the Purchaser in writing.
